The Corporate Veil

The concept of the corporate veil is often considered fundamental in modern business, as it typically defines the separation between personal and corporate liability.  This legal construct, though sometimes viewed as abstract, can be crucial for entrepreneurs, shareholders, and corporate entities.  

The corporate veil generally aims to promote economic growth by potentially limiting personal risk exposure, thereby encouraging investment in high-risk ventures.  The corporate veil is often acknowledged as recognizing the corporation as a distinct entity, which can be essential for aspects such as corporate governance, taxation, and regulatory compliance.

To address these concerns, the legal system has developed doctrines, such as piercing the corporate veil, which aim to ensure that the privilege of limited liability is not misused. 

The corporate veil aims to foster economic growth by protecting investors and entrepreneurs from personal liability, thereby encouraging capital formation.  However, it is important to note that this protection is not absolute.

Courts may, under specific circumstances, pierce the corporate veil, particularly when the corporate form is used to perpetrate fraud or injustice.  This judicial tool is designed to balance the benefits of limited liability with the need for corporate accountability.  In Oregon, for example, the statutory basis for the corporate veil can be found in ORS 60.151, which typically limits personal liability for corporate actions.  

Amfac Test

Oregon courts have developed a three-part test, known as the “Amfac test”, to determine when the corporate veil may be pierced.  The Amfac test involves examining shareholder control, assessing whether improper conduct has occurred, and establishing a direct link between such conduct and any harm suffered by a plaintiff.  The Amfac test is fact-intensive and context-dependent.

Integrity of the Corporate Veil

Maintaining the integrity of the corporate veil typically requires attention to several key areas.  This may include establishing distinct financial infrastructure such as separate bank accounts and financial systems for the corporation; using a unique corporate identification like a separate Employer Identification Number (EIN) for all transactions; maintaining comprehensive record-keeping with detailed corporate records; and adhering to all applicable state and federal regulations and laws.

Adequate capitalization is also considered essential.  This may entail asset sufficiency to maintain assets commensurate with business activities; a balanced financial structure by adhering to industry-standard debt-to-equity ratios; and avoiding over-reliance on shareholder loans.

Additionally, rigorous adherence to corporate formalities is often necessary.  This may include conducting regular corporate meetings with proper documentation; maintaining thorough decision-making and corporate action documentation; clearly defining and respecting the roles of shareholders, directors, and officers; and consistently following established corporate bylaws.

Asset Segregation

Strict asset segregation is also required.  This may include maintaining separate financial accounts for personal and business use; implementing clear policies on the use of corporate assets; and keeping transparent records of inter-entity transactions.  

Comprehensive contractual documentation is also critical.  This may require thorough agreement drafting to memorialize all significant business transactions; ensuring consistent corporate identification in all communications; regularly reviewing and updating contract templates; and involving legal counsel in the drafting and review of contracts.
